End User License Agreement – G4AL Entertainment S.L. Games

INTRODUCTION

This End-User License Agreement is a legal agreement between you as a user (the “User”, “You” or “your”) registered in the Game provided by G4AL Entertainment S.L. (referred to as the “Game” or “the Game” herein). This EULA governs your registration and use of the Game, obtained directly from the G4AL Entertainment S.L. Platform, in accordance with the Platform’s Terms of Use of the official game’s website.

Please read this EULA carefully before completing the installation process, registering, and starting to use the Game. If you do not agree with any of the terms stated in the EULA and/or the applicable Privacy Policy, please do not register or use the Game. Under Spanish law, players under the age of 18 may use the Game only with the consent and supervision of a parent or legal guardian. Your download and/or use of the Game will entail their acceptance and authorization to you for becoming a Player, and all binding obligations in relation to this EULA will also be binding for them.

The Game is not directed to children under 13. This EULA, together with the Privacy Policy, constitutes the legal framework applicable to your use of the Game and will be updated periodically. You will be notified through your Player account of any updates. Linking a GFAL ID or using a GFAL Wallet is optional and not required to play the Game.

1. INTERPRETATION AND DEFINITIONS

1.1 INTERPRETATION

All capitalized words have the meanings defined below in this EULA. The following definitions shall have the same meaning regardless of whether they appear in singular or the plural.

1.2 DEFINITIONS

Account: means personalized access to the Game which is given when the User downloads the Game and logs in for the first time.
Content: refers to content such as text, images, or other information that can be posted, uploaded, linked to, or otherwise made available to You, regardless of the form of that content.
EULA (also referred to as this “Agreement”): means this End-User License Agreement that forms the entire agreement between You and G4AL Entertainment S.L. regarding the use of the Game.
The Game: means the software program provided by G4AL Entertainment S.L. feature-complete, meaning the Game is fully playable and contains all major features.
The Game’s Legal Terms: means this End User License Agreement and the Game’s Privacy Policy, as well as any other legal document such as tournament bases, etc. which establishes any rule, terms and/or condition in relation to the Game’s Legal Terms and which is binding for You and G4AL Entertainment S.L.
The Company (also referred to as either “We”, “Us” or “Our” in this Agreement): refers to G4AL Entertainment S.L., a company incorporated under the laws of Spain, with registered offices at Morales 31, Entresuelo 1, 08029 Barcelona, Spain, with VAT number ESB16753725; duly represented by Mr. Manel Sort González, in his capacity as Manager.
Player (also referred as either “You”, “Your” or the “User”): means the individual downloading, creating an Account, and accessing or using the Game.
Third-Party Services: means any services or content provided by a third party that may be displayed or included in the Game.
Web: means the Game’s official website.
Xsolla: means Xsolla Group, our official global distributor of in-game items/keys/inconvertible VC.
Loot boxes: means chests and loot boxes available to be purchased inside The Game’s platform. The content is never randomly determined; Players will be informed of the contents before making any payment.
Virtual Items: means pieces of a software code processed on an electronic computing machine as in-game objects that the Customer acquires for a fee or during gameplay.
Applicable Law: means any laws and regulations applicable in Spain and the European Union.
GFAL ID: means an optional authentication account operated by G4AL Entertainment S.L.
GFAL Wallet: means an optional wallet feature available through GFAL ID.

2. LICENSE

Unless otherwise stated in this EULA, G4AL Entertainment S.L. is the owner or licensee of all rights including all copyrights, trademarks, and other intellectual property rights relating to the Game. This includes graphics, logos, text elements, images, characters, locations, and any virtual assets or items.

2.1 LICENSE GRANT

G4AL Entertainment S.L. hereby grants you a personal, limited, non-transferable, revocable, terminable, non-exclusive license to install and use the Game on your devices. The Game is licensed, not sold. You are responsible for ensuring your device meets the minimum requirements of the Game. This License is solely for personal, non-commercial purposes.

2.2 VIRTUAL ASSETS

The Game includes Virtual Items such as virtual currencies and customizations intended to enhance the experience. These Virtual Items are an integral part of the Game and their use is covered by this EULA. Virtual Items and any in-game currencies are not cryptoassets or securities and have no monetary value outside the Game. They cannot be exchanged for fiat currency or transferred to external wallets.

2.3 GAME RULES

G4AL Entertainment S.L. establishes the Game’s rules at its own discretion. Violation of these rules may result in the suspension of your Account, limitation of connections, or restriction of functionalities. G4AL Entertainment S.L. reserves the right to report serious violations to competent authorities in Spain if such behavior constitutes a breach of Applicable Laws.

2.4 NOT PERMITTED USE

As Player, You are not permitted to:

Edit, modify, or reverse engineer any part of the Game.
Copy, resell, or use the Game for any commercial purposes.
Breach any applicable local, national, or international laws.
Use unauthorized tools such as “auto,” “macro,” hack, or cheat software.

3. USER ACCOUNT

To play the Game, you will need to create an Account. You should keep your credentials secure. All activities that occur under your Account are your responsibility. You agree to comply with all laws regarding information society services.

3.1 NOT PERMITTED USE

You agree to never use your Account to transmit unlawful, harmful, or abusive information, impersonate any person, or transmit information that infringes third-party intellectual property rights.

4. INTELLECTUAL PROPERTY AND OWNERSHIP

G4AL Entertainment S.L. shall at all times retain ownership of the Game. The Game is protected by copyright laws, international treaties, and other Applicable laws in Spain and the EU. You promise not to challenge their ownership or engage in actions that devalue the intellectual property rights held by the Company.

5. PAYMENT TERMS

Purchases within the Game are processed through Apple In-App Purchase, Google Play Billing, or regulated third-party processors such as Xsolla. GFAL tokens cannot be used to make purchases inside the Game. All purchases are processed in fiat currency and are final and non-refundable, except where required under Spanish and EU consumer protection law. By completing a transaction, you waive any statutory right to cancellation once digital delivery has started.

6. TERM, TERMINATION AND TERRITORY

This EULA remains in effect until terminated by G4AL Entertainment S.L. or until the user cancels their account. G4AL Entertainment S.L. may terminate this Agreement immediately if you fail to comply with any provision. Upon termination, You must cease all use of the Game and delete all copies from your device.

7. NO WARRANTIES

The Game is provided “AS IS” and “AS AVAILABLE” without warranty of any kind. To the maximum extent permitted under Spanish Law, G4AL Entertainment S.L. disclaims all warranties, including implied warranties of merchantability or fitness for a particular purpose.

8. LIMITATION OF LIABILITY

G4AL Entertainment S.L. and its affiliates will not be liable for any damages you might incur. Nothing in this Agreement shall exclude or limit liability for gross negligence, fraud, or willful misconduct, or for any other liability that cannot be excluded under Spanish law.

9. INDEMNIFICATION

You agree to indemnify G4AL Entertainment S.L. from any claim arising out of your use of the Game or violation of this Agreement. The use of farming bots or cheating software is expressly forbidden and will result in an Account ban.

10. YOUR DATA

In accordance with Regulation (EU) 2016/679 (GDPR) and Spanish Organic Law 3/2018 (LOPDGDD), all personal data collected will be processed in accordance with our Privacy Policy.

11. CONSENT TO MONITOR

We may employ anti-cheat measures to detect unauthorized tools interacting with the Game. These measures operate only within the Game environment and do not scan unrelated applications on your device. Any monitoring is conducted in accordance with EU and Spanish data protection regulations.

12. MODIFICATIONS AND UPDATES

G4AL Entertainment S.L. may modify the Game or its Legal Terms at any time. You agree to receive updates, which may take the form of bug fixes or enhanced features.

13. AVAILABILITY OF THE GAME AND ERROR REPORTING

It is the responsibility of each User to ensure their device meets the minimum technical requirements. We offer a service desk for general inquiries accessible through each game’s website. Certain optional features outside the Game, such as the GFAL Marketplace, are operated by G4AL Entertainment S.L. (Spain) and may use blockchain technology.

14. INDEPENDENT CONTRACTORS

Nothing in this Agreement constitutes any type of joint venture or employer-employee relationship between the User and G4AL Entertainment S.L.

15. ENTIRE AGREEMENT

The Game’s Legal Terms constitute the entire agreement with respect to the use of the Game.

16. WAIVER

Failure by G4AL Entertainment S.L. to enforce any obligation does not constitute a waiver of such rights.

17. PARTIAL NULLITY

If any section is declared void by a competent authority, the remaining terms will remain in force.

18. CONTRACT LANGUAGE

In the event of conflict regarding the meaning of any term, the English version will be applied first.

19. LEGISLATION AND JURISDICTION

This EULA shall be governed by and construed in accordance with the laws of Spain. Any disputes shall be subject to the exclusive jurisdiction of the courts of Barcelona, Spain, unless otherwise required by Applicable Law.

20. RAFFLES AND TOURNAMENTS

Token prizes or in-game rewards won in tournaments may be subject to tax liability, and the User is solely responsible for paying any taxes due. All activities will be organized in accordance with applicable Spanish and EU promotional laws.

22. iOS ADDENDUM

For Users on iOS, this EULA is supplemented by Apple’s Standard EULA.

23. GOOGLE PLAY ADDENDUM

For Android Users, this EULA is supplemented by Google Play Terms of Service. Digital content on Google Play is processed exclusively through Google Play Billing.
